Kallidus SaaS Services Beta Terms
If Kallidus offers a product, service or feature (Product) to customers as part of a beta trial or during a beta testing period (beta testing), the following terms shall apply during that beta testing to the Product being offered.
Use by the customer of the Product during the beta testing confirms its acceptance of these Beta Terms.
Beta testing means that the Product is in a pre-release, preview, non-production, pilot or limited release phase (or similar description) and may contain incomplete features or defects. Products provided during beta testing are intended primarily for evaluation purposes, are not supported or for normal production use.
- For the period during the beta testing that the Customer has access to the Product, the Customer shall co-operate with Kallidus in relation to the beta testing process, including by providing information relating to any issues discovered during the beta testing or otherwise as reasonably requested by Kallidus. If the Customer provides Kallidus with feedback, suggestions, comments, or other input relating to the Product (Feedback), the Customer hereby assigns to Kallidus all intellectual property rights in any Feedback, and Kallidus shall be free to use, incorporate, and exploit such Feedback without restriction, obligation, or compensation to the Customer.
- Kallidus shall specify the period of beta testing, including the extension or ending of the beta testing period, in its discretion. Kallidus shall endeavour to advise the Customer (including via Kallidus Knowledgebase) of any updates to the proposed timings of the beta testing period.
- During the beta testing, Kallidus may make changes to the specification for the Product at any time in its discretion.
- At the end of the beta testing period, Kallidus may release the Product and offer it to eligible customers or it may withdraw the Product, in its discretion.
- If the Product is released for general availability to customers at the end of beta testing, then from the point of general release, Kallidus shall confirm the commercial terms for the provision of the relevant Product (including charges, if it is to be offered on a paid access basis, and any applicable special terms).
- Unless expressly agreed otherwise, during the beta testing the Product shall be provided to the Customer at no cost.
- The Customer acknowledges that it is the nature of a beta test that the Product is in development and so, by its nature, testing will not have been completed before release. The Customer acknowledges that the Product (or elements of it) may not operate correctly and may contain incomplete features or defects which could lead to problems. Kallidus therefore makes no representations or warranties, express or implied, in respect of the Product, including as to it accuracy, completeness, reliability or suitability for the Customer’s requirements. The Product is provided on an “as is” and “as available” basis and Kallidus shall have no liability to the Customer in connection with the Customer’s use of the Product during the beta testing.
- The Customer shall:
(a) not use the Product during the beta testing period for any commercial activity;(b) promptly tell Kallidus about any errors, bugs, defects or unexpected behaviour identified during its use of the Product;
(c) comply with all applicable laws in connection with its use of the Product;
(d) not attempt to circumvent any security mechanisms within the Product, introduce any malicious code or harmful content or use the Product in any manner which could damage, disable or impair the Kallidus systems or infrastructure.
- Limitation of Liability for the Product during beta testing: (a) To the fullest extent permitted by applicable law, Kallidus excludes all liability of any nature or sort to the Customer arising out of or in connection with the Customer’s access to or use of the Product. This includes, but is not limited to any loss of data, loss of profits, business interruption, or any direct, indirect or consequential loss, whether arising in contract, tort (including negligence), or otherwise.
(b) Nothing in this clause 9 shall limit or exclude either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
- Data Protection and Data Security: (a) The data protection provisions of the Customer’s Kallidus SaaS Contract (Contract) shall apply to any personal data processed in connection with the Product to the extent such processing occurs.
(b) The Customer is solely responsible for ensuring that any data it inputs into or processes via the Product is appropriate for use in a non-productive testing environment.
- No service level agreement, uptime commitment, or support obligation applicable to the Kallidus SaaS Services under the Contract shall apply to the Product. Kallidus shall have no obligation to provide maintenance, support, error correction or updates in respect of the Product during the beta testing period.
- These Beta Terms shall supplement and form part of the Contract. In the event of any conflict between these Beta Terms and the remaining terms of the Contract in respect of the Product during the beta testing period, this letter shall prevail. All other terms of the Contract shall continue to apply to the Product to the extent not inconsistent with this letter.
